Options include: 1)Sell business and real estate as a whole. 2) sell business and Client (Wilson's on 176, LLC) will retain ownership of the real estate and lease the real estate to the new Owner. 3) Sell business and give new Owner option (first right of refusal) to purchase real estate. Commission shall be paid to Firm for Agent's benefit under Option 2 and 3 calculated at the percentages herein applied to the business' market value. Commission will be paid for Firm for the Agent's benegit at such time as Client excercises the first right of refusal in Option 3; if applicable. NOTE: Seller will retain all cash reserves and will be paid for the accounts receivable as of an established reporting date prior to closing.
